4+ years-Assistant General Counsel, Greater Seattle, WA Area
The Assistant GC reports to the SVP of Government and Public Affairs. This position provides Federal and State regulatory legal advice and guidance to our health care provider's business units, including Sales, Underwriting and Actuarial Departments.
4+ years experience in a major law firm or corporate setting providing legal services related to Affordable Care Act regulations. Requires strong knowledge of compliance obligations affecting business and ability to navigate complex regulatory schemes. This position will deal directly with clients and senior level management in-house. WA bar current member or be eligible to take exam. Proven excellent negotiation skills; excellent research and legal analysis skills. Affordable Health Care experience from a Plan perspective ideal qualification.

General Counsel for world leader in manufacturing. The General Counsel will work closely with and directly report to the Test & Measurement’s (“T&M”) VP & General Counsel. S/he will be responsible for managing all legal and contractual issues in North and South America (other than patent and trademark maintenance) for the client.
Major Responsibilities: Working closely with both the Test & Measurement and the company's general management on setting the strategic direction of the business.
Collaborating with other Senior Counsel for administering compliance with Standards of Conduct, Anti-Corruption and Risk Assessment Programs, including tracking regional and local compliance, and keeping program documents up-to-date and communicated. Includes establishing and maintaining a sustainable compliance program covering EHS, business practices, product certification and general legal compliance.
Taking ownership under T&M’s Risk Assessment Plans for legal compliance-related actions and corrective measures.
Supporting development teams in reviewing and closing acquisitions and disposals of businesses.
Preparing and reviewing standard forms for service delivery, warranty terms and long term support policies, and supporting customer contracts generally.
Assisting with all issues relating to the procurement of materials, services, software and other support necessary for product manufacturing, engineering and development.
Managing litigation, including preparing discovery and management of outside counsel.
Support all areas of the organization to include but not limited to HR, finance, logistics, and facilities.
Acting in a Company Secretarial role to ensure compliance with filing and other obligations for company's subsidiaries, maintaining board authorities, officer appointments, dividend payments, capital reductions/increases and other changes.

Minimum Qualifications: JD from an Accredited Law School. Combination of experience with a national law firm and experience within corporate legal department for a minimum of 10 years’ total legal experience.
Experience in defense and governmental contracting a plus.
Previous litigation experience strongly preferred.
Working knowledge of various company standard PC applications and operating systems.
Experience managing other attorneys or professionals preferred.
Some domestic and international travel is required (10%+).
