Our Seattle positions for in-house are active! An established Seattle client company is seeking a large firm- trained associate with outstanding credentials for an in-house role in its sophisticated, fast-paced real estate group. Four to approximately nine overall years of legal experience is ideal (with at least three years at a law firm), including real estate development, acquisition and leasing.
You will have responsibility for structuring, drafting and negotiating agreements, managing outside counsel, and counseling internal business clients on: • Site selection, lease agreements (both existing facilities and build-to-suits), real property purchase and sale agreements and land use and zoning issues; • Construction agreements; • Other commercial transactions, ranging from standard contracts to complex, high-dollar-value transactions; and • A broad range of property issues involving the management of the company's existing portfolio.
You will work directly with the various business teams, providing day-to-day advice, resolving issues that arise in existing commercial relationships, handling pre-litigation legal disputes and inquiries (NOT a RE litigation role ; this is a transactional role), and managing outside counsel. You will also be responsible for identifying opportunities for and implementing process improvements. In this role, you will interact with our Public Policy, Economic Development and Tax teams. Some travel, domestic and international, will be required. Additional in-house roles in technology transactions, patent, compliance, trademarks, advertising/marketing and L&E collective bargaining.

Large, regional law firm practice serving businesses, individuals, estates and nonprofits in the Pacific NW seeks an associate practice attorney for it's busy Commercial Real Estate and Natural Resources practice in Seattle, WA.
Ideal experience is a wide range knowledge of commercial RE transactions, including purchase and sale agreements, joint ventures, leases, acquisitions, mortgage an asset-based financing, dispositions and development of real property and assets. Ideal specific experiences would include: Financing transactions; preparing and negotiating purchase and sale agreements, closing documents, leases and loan documents; reviewing due diligence items including organizational documents, title and survey, and handling any closing issues; and negotiating, preparing and revising restrictive covenants, subordination agreements, and loan agreements and modifications.
WA State Bar strongly preferred but not required.
