Assistant General Counsel - Real Estate - Southern Oregon 5 to 12+ years experience.
A robust and growing quick-service retailer in the Pacific NW has engaged us exclusively to recruit on two, separate openings for experienced real estate attorneys. These pivotal roles offer a myriad of intellectual challenges and regular collaboration with senior management and other company counsel. We're seeking strong experiences in RE including in commercial leases, purchase and sale agreements, financing documents, CC&R documents, declarations, access agreements and related documents for development. Real estate experiences in quick service retail are an attractive and strong plus. This position will handle day-to-day legal matters for the company's real estate portfolio. Other documentation experience need is construction documents, including master service agreements, construction contracts, statements of work, lien releases, and related documents. The successful candidates will work closely with site selection staff to ensure agreements reflect business goals, while simultaneously protecting the company's financial/legal interest, and serve as liaison with the real estate department with respect to all leasing matters such as letters of intent, leases, amendments, letter agreements, and interpretation of leases. The roles collaborate with other core functions, including accounting, tax, and lease administration and directs the company's outside legal counsel, as needed, on real estate and construction matters. The outstanding candidates for this company's needs will contribute to a collective effort to improve the company's preparation, review, negotiation, and processing of transactions. Associate Counsel, Minimum 6 years - Securities and Finance Attorney. Portland, OR
Outstanding community leader corporate seeks an Associate Counsel with corporate, securities and finance experiences to primarily support the VP, Chief Compliance Officer/Corporate Secretary in the overall areas of corporate, securities, finance, governance, shareholder services, compliance and other similar matters. The position will also have some primary responsibilities with respect to certain of the company's subsidiaries. Role is a member of the Corporate Secretary and Business Integrity/Compliance teams.

Must be licensed to practice and in good standing in the US and able to practice in OR. Six (6) or more years of significant experience in corporate, governance and securities law compliance, with at least four (4) of those years in a well-respected law firm. Solid understanding of SEC, NYSE, SOX and other governance requirements and best practices.
